Terms of Service

Dispatch Network is a software platform that provides dispatch management, job coordination, carrier network management, payment collection tools, and referral tracking services to moving companies ("Companies"), independent carriers ("Carriers"), and real estate professionals ("Realtors"). The Platform does not itself provide moving services and is not a party to any service agreement between a Company, Carrier, customer, or Realtor.

Dispatch Network is a technology platform only. We do not employ Carriers, dispatch moves directly, or guarantee the performance of any moving service. All moving services are provided by independent Companies and their affiliated Carriers. Dispatch Network has no control over, and expressly disclaims all liability for, the quality, timing, legality, or outcome of any moving service arranged through the Platform.

The Platform facilitates payment collection on behalf of Companies using Stripe, a third-party payment processor. The following fees apply:

• →Company subscription: $199/month per company account
• →Carrier subscription: $99/month, of which 10% ($9.90) is retained by the Platform as a service fee
• →Job payment application fee: 3.5% of each customer payment, retained by the Platform
• →Carrier overage fee: $25 per job beyond the included job limit, of which 10% ($2.50) is retained by the Platform

All fees are non-refundable except as required by applicable law or as expressly stated herein. The Platform reserves the right to modify fees with 30 days written notice.

By registering as a Company, you agree to:

• →Maintain an active Stripe Connect account to receive and disburse payments
• →Pay all Carriers and Realtors the amounts agreed upon for completed work
• →Collect customer payments before requesting carrier payout processing
• →Not misrepresent job details, rates, or payment terms to Carriers or Realtors
• →Comply with all applicable federal, state, and local laws governing moving services
• →Maintain appropriate licensing, insurance, and bonding as required by law
• →Not use the Platform to defraud Carriers, Realtors, or customers

By registering as a Carrier, you agree to:

• →Maintain an active Stripe Connect account to receive payouts
• →Complete accepted jobs in a professional and timely manner
• →Maintain appropriate licensing, insurance, and authority to operate as a carrier
• →Acknowledge that payment disputes are between you and the Company, not the Platform
• →Not accept jobs you do not intend to complete

By registering as a Realtor referral partner, you agree to:

• →Only refer clients who have expressed genuine interest in moving services
• →Not submit fraudulent or duplicate referrals
• →Maintain an active Stripe Connect account to receive commission payouts
• →Acknowledge that commission payment disputes are between you and the Company
• →Comply with applicable real estate licensing laws regarding referral fees

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCH NETWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, FAILURE TO RECEIVE PAYMENT FROM A COMPANY, CARRIER DEFAULT, OR REALTOR NON-PERFORMANCE.

IN NO EVENT SHALL THE PLATFORM'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF FEES PAID BY YOU TO THE PLATFORM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Payment disputes between Companies, Carriers, and Realtors are private commercial matters. The Platform may, at its sole discretion, suspend accounts involved in documented fraud or repeated non-payment, but has no obligation to mediate, arbitrate, or resolve payment disputes between users.

Any dispute between a user and Dispatch Network shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Users waive the right to participate in class action lawsuits against the Platform.

The Platform reserves the right to suspend or terminate any account at any time for:

• →Non-payment of Platform subscription fees
• →Fraudulent activity or misrepresentation
• →Repeated failure to pay Carriers or Realtors for completed work
• →Violation of these Terms or applicable law
• →Chargebacks or payment reversals indicating fraud

You agree to indemnify, defend, and hold harmless Dispatch Network and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your failure to pay Carriers, Realtors, or customers; (d) your moving operations; or (e) any claim by a third party arising from services you provided.

Dispatch Network reserves the right to modify these Terms at any time. We will provide at least 30 days notice of material changes via email or Platform notification. Continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal proceedings shall be brought in the state or federal courts located in Volusia County, Florida.
